BY USING INWISE SOFTWARE/SERVICE (THE "SOFTWARE" ; THE "SERVICE"), YOU (THE "USER") ARE CONSENTING TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE SUBJECT TO ALL OF THESE TERMS AND CONDITIONS, YOU ARE ADVISED NOT TO USE THE INWISE SOFTWARE OR THE SERVICES AVAILABLE.
GENERAL
All software and services provided by inwise may be used for lawful purposes only. Transmission or storage of any information, data or material in violation of any Israel law is prohibited. This includes, but is not limited to: copyrighted material, material legally judged to be threatening or obscene, or material protected by trade secret and other statue. The customer agrees to indemnify and hold harmless inwise from any claims resulting from the use of the software or services which damages any parties.

RIGHTS GRANTED TO INWISE
You allow inwise to reference our relationship on a listing of inwise customersand use your logo and/or trademark on inwise's marketing materials.
inwise may include in every e-mail sent by any inwise software or services a statement similar to the following: "Email marketing by inwise".
FEES AND PAYMENTS
You agree to pay the fees for inwise software or services in the amount and frequency as set forth in the contract or applicable subscription order form. You are solely responsible for all charges, fees, duties, taxes, and assessments arising out of any use of your inwise software or service account by you or anyone else using your account. inwise reserves the right to modify the fees charged for software or services from time to time, provided that such new fees shall not take effect until the next renewal of current contract(s).
Payment is due immediately after date of invoice. The customer is responsible for providing up-to-date payment information. inwise will not be held responsible should the customer's payment information become out-of-date.
FORCE MAJEURE
You agree that we shall not be liable for any and all losses, (including loss of data) damages, costs, claims and other liabilities which arise as a result of any delay or interruption in, or any non-delivery, or missed delivery or failure of software and/or Services due to circumstances beyond our or any of our suppliers' reasonable control (including, but not limited to, fire, lightning, explosion, war, disorder, flood, industrial dispute, sabotage, weather conditions or acts of local or central government or other competent authorities).
TERMINATION OF SREVICE
We reserve the right to terminate any and all service provided to you at any time without notice for any reason we deem fit. We also reserve the right to discontinue any service or modify any service with no notice to you. If we terminate services to you, we will deactivate your account. We shall not be liable to you or any third party if we terminate your account and you agree to hold us harmless and indemnify us from any third party claims arising from the termination of your account.No refunds will be granted to you if we terminate your account. You agree that monetary damages may not adequately provide a remedy for us if you violate any of the terms and conditions of this Agreement and you agree that we may approach a Court of Equity of competent jurisdiction for the purpose of obtaining Orders in Equity should you violate any element of this agreement.
